Terms of Service

These Terms of Service govern use of www.getmacha.com, owned by AGZ Technologies Private Limited. The terms apply to all users and constitute a binding contract upon accessing the site.

Website Services

The platform enables users to design webpages using templates, images, text, shapes, icons, and proprietary code. The Website provides Users with the ability to design their own webpage(s) using templates, images, texts, shapes, icons, artwork, graphics, widgets, designs, animations, and other resources provided on the platform.

Registration Requirements

Users must create accounts and provide personal information including name, email, phone number, and financial details. Users warrant that information provided shall be true and accurate and remain responsible for protecting account credentials.

Access to Website

The company commits to maintaining continuous operation but acknowledges that access to the Website may be temporarily suspended owing to extraneous causes, downtimes, site maintenances, or for the introduction of additional features.

Data Collection

The platform collects personal and financial information for operational efficiency, record maintenance, promotional strategies, targeted advertising, statutory compliance, and third-party integration purposes. Data handling is governed by the Privacy Policy.

User Obligations

Users must:

• Use original content free from intellectual property claims

• Refrain from copying content outside permitted uses

Intellectual Property

All website content, code, designs, images, and materials are exclusive property of AGZ Technologies. Users receive a personal, non-exclusive, non-assignable, non-transferable, worldwide, limited license for webpage creation purposes.

Users retain ownership of self-developed intellectual property but grant the company a non-exclusive, royalty free, transferable, sub-licensable, worldwide license for promotional and marketing purposes.

Payment Terms

Users can receive payments through designated third-party gateways. Users consent to financial information collection per gateway terms. The Website is not an intermediary for the designated payment gateway.

The company may amend pricing policies with reasonable notice. Processing fees apply to client purchases, with refund policies limiting reimbursement obligations.

Representations and Warranties

Services are provided "as is" with all warranties disclaimed. The company makes no, and hereby disclaims any express or implied warranties, including but not limited to the implied warranties of performance, accuracy, non-infringement, merchantability, and fitness for a particular purpose.

No guarantees exist regarding customer interaction quality.

Macha does not use Customer Content to train any AI model, and does not sell or share it with third parties other than the sub-processors listed in our Sub-processors list. Content passed to our AI providers is processed under zero-retention terms where the provider offers them. Retention periods for data held by Macha are set out in the Privacy Policy and the Data Processing Agreement.

Removal and Refund Policy

The company may remove webpages based on legitimate claims involving harmful, offensive, inaccurate, illegal, or intellectually infringing content. Services are non-refundable except when issues arise from company fault and cannot be resolved. See our Refund & Cancellation Policy for details.

Limitation of Liability

11.1 Cap. To the maximum extent permitted by applicable law, each party’s total cumulative liability for all claims arising out of or relating to these Terms will not exceed 1.0 times the fees paid or payable by the Customer to Macha in the 12-month period immediately preceding the event giving rise to the claim.

11.2 Excluded damages. Under no circumstances will either party be liable to the other for lost profits or revenues, or for consequential, special, indirect, exemplary, punitive, or incidental damages relating to these Terms, even if that party was advised of the possibility of such damages in advance.

11.3 Exceptions. The limitations in 11.1 and 11.2 do not apply to: (a) either party’s indemnification obligations under the Indemnification section below; (b) either party’s breach of its confidentiality obligations; (c) either party’s willful misconduct; or (d) any liability that cannot be excluded or limited under applicable law.

Policy Modifications

The company reserves the right to update terms at any time. Material changes post on the website and become effective immediately. Continued use constitutes acceptance.

Indemnification

13.1 Indemnification by Customer. Users agree to indemnify the company and its employees from and against any and all claims, damages, obligations, losses, liabilities, costs or debts and expenses including reasonable attorney's fees arising directly or indirectly from breach of these terms.

13.2 Indemnification by Macha. Macha will defend the Customer against any third-party claim alleging that the Services, as provided by Macha and used in accordance with these Terms, infringe that third party’s intellectual property rights, and will indemnify the Customer against damages and costs finally awarded against it, or agreed in settlement by Macha, in respect of such a claim.

13.3 Conditions. The indemnified party must promptly notify the indemnifying party of the claim, give it sole control of the defence and settlement, and provide reasonable cooperation at the indemnifying party’s expense.

Governing Law and Jurisdiction

Terms are governed by Indian law with exclusive jurisdiction in Bengaluru, Karnataka. Disputes proceed through arbitration with a single mutually appointed arbitrator. Arbitration costs split equally.

Electronic Communications

All communications occur through website displays. Electronic postings satisfy written communication requirements.
